1. Definitions

• "Company," "We," "Us," or "Our" refers to Alive Inc.
• "Client," "You," or "Your" refers to the individual or business entity engaging our services.
• "Services" includes, but is not limited to, website design, mobile app development, SEO, MLM software solutions, blockchain development, and digital marketing.

2. Services and Deliverables

Alive Inc agrees to provide the services as specified in the individual project proposal or service agreement signed by both parties. All timelines provided are estimates; while we strive for timely delivery, we are not liable for delays caused by third-party dependencies, force majeure, or client-side delays (e.g., late feedback or content provision).

3. Payment Terms

• Deposit: A non-refundable deposit is required to initiate any project.
• Milestones: Payments are due based on project milestones as defined in the project scope.
• Late Payments: Invoices not paid within a mutually agreed period of the due date may result in a suspension of services or project work.

4. Intellectual Property

• Client Content: You retain ownership of all content, logos, and materials you provide to us. You warrant that you have the legal right to use all materials submitted.
• Company Work Product: Upon receipt of full payment, Alive Inc grants the Client a non-exclusive, perpetual license to use the final deliverables developed specifically for the Client. Alive Inc retains ownership of all pre-existing code, frameworks, methodologies, and proprietary systems used in the development process.

5. Confidentiality (NDA)

Alive Inc acknowledges the sensitive nature of your business data. We maintain a strict confidentiality policy regarding all trade secrets, project logic, and proprietary information shared during our engagement. This obligation survives the termination of our working relationship.

6. Limitation of Liability

To the maximum extent permitted by law, Alive Inc shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use our services. Our total liability is limited to the amount actually paid by the Client for the specific project in question.

7. Termination

Either party may terminate the agreement with written notice if the other party breaches a material term of this agreement. Upon termination, the Client shall pay for all work completed and expenses incurred up to the date of termination.

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts located in Navi Mumbai, Maharashtra.

9. Changes to Terms

We reserve the right to update these terms at any time. Your continued use of our website or services following the posting of changes constitutes your acceptance of such changes.
